BR – VT House Development Joint Stock Company (HODECO) would like to announce:
Since the 2016-2020 term of the Board of Directors and the Supervisory Board of HODECO has ended, the 2021 annual general meeting of shareholders will conduct the election of new members of the Board of Directors and members of the Supervisory Board for the 2021-2025 term.
Pursuant to HODECO’s current charter on the candidacy and nomination of members of the Board of Directors and the Supervisory Board, the following conditions must be complied with:
Section 2, Article 23: Shareholders holding shares with voting rights for a consecutive period of at least six (06) months* have the right to aggregate the number of voting rights of each person together to nominate the candidates for the positions of members of the Board of Directors. A shareholder or groups of shareholders holding at least 5 to less than 10% of the voting shares for a consecutive period of at least six months may nominate a member; from 10% to less than 30% may nominate two members; from 30% to less than 50% may nominate three members; from 50% to less than 65% may nominate four members, and if from 65% or more, they can nominate a sufficient number of candidates.”
“Section 3, Article 23: Members of the Board of Directors must meet the following criteria and conditions:
a) Having full civil act capacity and not being prohibited from managing enterprises under Clause 2, Article 18 of the Law on Enterprises (2014);
b) Having professional qualifications and experience in business management of the Company and not necessarily being a shareholder of the Company.
c) A member of the Board of Directors of the Company cannot concurrently be a member of the Board of Directors in more than 5 other companies.”
“Section 2, Article 34: Shareholders holding shares with the voting rights for a continuous period of at least six (06) months* have the right to aggregate the number of voting rights of each person together to nominate candidates for the position of members of the Board of Directors. Shareholders or groups of shareholders holding from 5% to less than 10% of the voting shares for a consecutive period of at least six months may nominate one member; from 10% to less than 30% may nominate two members; from 30% to less than 50% may nominate three members; from 50% to less than 65% may nominate four members and if from 65% or more may nominate a sufficient number of candidates”.
“Section 3, Article 34: A member of the Supervisory Board must have the following criteria and conditions:
a) Having full civil act capacity and not being prohibited from establishing and managing enterprises according to the provisions of the Law on Enterprises;
b) Not being the wife or husband, natural father, adoptive father, natural mother, adoptive mother, natural child, adopted child, natural brother, natural sister of a member of the Board of Directors, Director or General Director and other managers;
c) Not holding managerial positions in the Company; not necessarily be shareholders or employees of the Company unless there is other regulations in the Company’s charter;
d) Other standards and conditions as prescribed by relevant laws and the Company’s charter.”
Note: * The period of holding voting shares for a continuous period of at least six (06) months up to March 19, 2021 (last registration date to attend the 2021 annual general meeting of shareholders)
Any shareholder or group of shareholder who meets the conditions mentioned above and has the request for the candidacy or domination for member of the Board of Directors and the Supervisory Board, please send the document of candidacy or domination (according to the attached form) to the Organizing Committee of the General Meeting of Shareholders in 2021 (Mr Nguyen Quang Dat) before 5:00 p.m. on April 9, 2021 to the address:

When the above time is exceeded , if the Organizing Committee of the General Meeting of Shareholders does not receive the nomination/candidacy letter from the Shareholder, it will be considered that the Shareholder is not the candidates and doesn’t dominate any person to participate in the Board of Directors and the Supervisory Board. The Board of Directors and the Supervisory Board will consider and nominate the persons who meet the criteria and conditions to be the members of the Board of Directors and Supervisory Board for the new term.
